1. Agreement
These Terms of Service ("Terms") govern your access to and use of Clipy ("Clipy," "we," "us," or "our"). By downloading, accessing, or using Clipy, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Clipy.
These Terms supplement the Apple Standard End User License Agreement for the licensed iOS application. If a provision concerning the licensed application conflicts with Apple's Standard EULA, the Apple Standard EULA controls to the extent of that conflict.
2. Eligibility
You must be at least 13 years old to create or use a Clipy account. If you have not reached the age of legal majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms. You may not use Clipy if applicable law prohibits you from doing so.
3. What Clipy provides
Clipy is a personal bookmarking, offline-reading, organization, synchronization, and knowledge-access service. It can process links, notes, images, and files that you choose to save, attempt to create readable copies of public pages, and provide controlled access through the Clipy Knowledge API.
Features, limits, supported sources, storage methods, and availability may change over time. Some features require an account, an internet connection, a compatible device, or an active Clipy Pro subscription.
4. Accounts and security
You must provide accurate information, keep your credentials and devices secure, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account, except to the extent caused by our failure to use reasonable care.
Where available, you may sign in using Clipy's own authentication system or a third-party sign-in provider. Your relationship with that provider is also governed by its terms. We may limit login attempts, require verification, expire sessions, or take other reasonable steps to protect Clipy and its users.
5. Your content
You retain ownership of notes, images, files, and other content you create or lawfully submit to Clipy. You grant us a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, and create technical derivatives of that content only as reasonably necessary to operate, secure, support, analyze, and improve Clipy and related content or knowledge-management features.
You represent that you have the rights and permissions needed to submit content and to direct Clipy to process it. You must not use Clipy to infringe intellectual-property, privacy, publicity, confidentiality, contractual, or other rights.
Clipy is not intended as the sole repository for irreplaceable material. You are responsible for maintaining appropriate copies of important content.
6. Third-party websites and content
Clipy processes individual items at your direction. It does not promise that any page can be saved, does not grant rights to third-party content, and is not designed to bypass logins, paywalls, access controls, verification systems, or technical restrictions. When content cannot be processed, Clipy may preserve the original link or open the third-party website.
Third-party services remain responsible for their own content, availability, terms, and privacy practices. You are responsible for complying with applicable third-party terms and copyright laws. If you believe content processed through Clipy infringes your rights, contact support@clipylink.com with sufficient information for us to evaluate the request.
7. Knowledge API and external AI services
Clipy does not proactively send your saved content to a third-party AI service. External access occurs only after you actively obtain or reveal a Clipy Knowledge API key, provide it to another service, and cause that service to make requests.
A Knowledge API key is a secret credential. You are responsible for deciding which external service receives it, reviewing that service's terms and privacy practices, limiting its access, and rotating or revoking the key when appropriate. Actions taken using a valid key may be treated as authorized by you until the key is revoked.
We may apply technical limits, suspend a key, or block requests that threaten security, service stability, legal compliance, or other users.
8. Clipy Pro subscriptions
Clipy may offer monthly or annual auto-renewable Clipy Pro subscriptions through Apple's In-App Purchase system. The App displays the current price, subscription period, included features, and any available introductory offer before purchase. Taxes and local pricing may vary by App Store region.
Where offered and where you are eligible, a subscription may begin with a seven-day free trial. Unless you cancel before the trial ends, Apple will charge the displayed subscription price and the subscription will continue automatically.
Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Apple may charge your account within 24 hours before renewal. You can manage or cancel a subscription in your Apple account settings. Deleting Clipy or deleting a Clipy account does not by itself cancel an Apple subscription.
Apple processes payments, cancellations, and refund requests under its own rules. Clipy cannot directly issue App Store refunds. You may request a refund through Apple's Report a Problem service. If Apple refunds or revokes a transaction, Clipy may remove or adjust the corresponding subscription benefits.
Promotional, trial, administrative, or legacy access that was not purchased from Apple may have separate eligibility or expiration rules and has no cash value.
9. Acceptable use
You may not:
- use Clipy unlawfully or to violate the rights of another person;
- submit malware, exploit code, or content intended to disrupt or compromise systems;
- attempt unauthorized access, evade rate limits, probe other accounts, or share credentials in an unsafe manner;
- use Clipy for automated bulk scraping, circumvention of access controls, or redistribution that you are not authorized to perform;
- reverse engineer or interfere with Clipy except where applicable law expressly permits it; or
- misrepresent your identity, subscription status, or affiliation with Clipy.
10. Privacy
Our Privacy Policy describes how Clipy handles personal information, saved content, service analytics, external AI access, retention, and deletion. By using Clipy, you acknowledge those practices.
11. Service changes and availability
We may add, modify, suspend, or discontinue features for technical, security, legal, business, or product reasons. We will provide notice when reasonably practicable if a material change significantly affects paid functionality. We do not guarantee uninterrupted availability, successful extraction of every link, permanent compatibility with third-party websites, or recovery of every item.
12. Suspension, termination, and account deletion
You may stop using Clipy at any time and may request account deletion through the controls made available in Clipy or by contacting support. Account deletion is subject to identity verification and the retention exceptions described in the Privacy Policy.
We may restrict or terminate access when reasonably necessary because of a material breach of these Terms, security risk, fraud, abuse, legal requirement, prolonged inactivity, or discontinuation of the service. Where appropriate, we will provide notice and an opportunity to resolve the issue.
Termination does not automatically cancel an Apple subscription. Provisions that by their nature should survive—including ownership, payment records, disclaimers, limitations of liability, and dispute provisions—remain effective.
13. Disclaimers
To the maximum extent permitted by law, Clipy is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Clipy does not provide legal, financial, medical, or other professional advice. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
14. Limitation of liability
To the maximum extent permitted by law, Clipy and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, business, data, goodwill, or opportunities arising from Clipy.
To the maximum extent permitted by law, our aggregate liability arising from Clipy or these Terms will not exceed the greater of the amount you paid for Clipy during the 12 months before the event giving rise to the claim or US$50. These limitations do not apply to liability that cannot legally be limited, including liability for fraud, willful misconduct, or death or personal injury caused by negligence where applicable.
15. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles.
Nothing in these Terms limits mandatory consumer rights available under the laws of your place of residence. Subject to those mandatory laws, the courts of Hong Kong have non-exclusive jurisdiction over disputes arising from these Terms or Clipy. Before filing a claim, you and Clipy agree to make a reasonable good-faith effort to resolve the matter by contacting the other party.
16. Changes to these Terms
We may update these Terms as Clipy changes. We will update the effective date and provide additional notice when required by law or when a change materially affects your rights. If you do not agree to updated Terms, you should stop using Clipy and cancel any subscription.
